Legal
Terms and Conditions
English reading version of the German draft. The German draft is written for German law. Statements that hold only under German law — the liability wording in section 7 and the choice of law in section 8 — are marked as such. Open, and not decided here: which language version prevails, and whether customers outside the EU need a contract text of their own. These points are still to be clarified with legal counsel.
1. Scope and subject matter
These terms apply to the use of Next Coaching, a coaching and learning platform. A coach concludes a contract with us for the use of the platform and runs their own workspace (tenant) on it. A client is invited by their coach into that coach's workspace and uses the platform within the framework of this coach–client relationship.
2. Formation of the contract
The contract with a coach is formed by registering a workspace. A client takes part in the platform by accepting an invitation from their coach; no separate contract between us and the client arises from this — use takes place within the contract between us and the inviting coach.
3. Obligations of users
- Access credentials must be kept confidential and not passed on to third parties.
- Content shared via the platform (messages, files, course content) must not infringe the rights of third parties and must not contain unlawful content.
- A coach is a joint controller under data protection law for the personal data they collect and process about their clients.
4. Availability
We endeavour to keep the platform continuously available, but do not promise any particular level of availability. Maintenance work, disruptions and further development may lead to temporary restrictions.
5. Prices and payment
At present, no payment method is set up in the platform — there are currently no paid services. Once that changes, prices and payment terms will be added here: [ to be added by Steven: prices, billing intervals, payment method ].
6. Term, termination and deletion
A coach can terminate their contract [ to be added by Steven: notice period ]. How a client deletes their access or account themselves — and what happens to their data — is explained on the page Delete account.
7. Liability
Under German law: We are liable without limitation for intent and gross negligence (grobe Fahrlässigkeit) and for injury to life, body or health. Otherwise we are liable only for the breach of essential contractual obligations (wesentliche Vertragspflichten), and limited in amount to [ to be added by Steven: liability cap ].
The terms in italics are concepts of German law and are quoted in the original German.
8. Final provisions
Choice of law (as stated in the German draft): The law of the Federal Republic of Germany applies.
If any provision of these terms is invalid, the remaining provisions remain unaffected.
